The main difference is QC is more secured than Test Director. In Quality Center  login page shows projects only where the logged in user have access but in Test Director you will be able to see all available projects.

Defect Linkage functionality is more flexable in QC than TD? (This is one of the major changes).

QC 9.2 changes as said above.

3)
For Test Management and better traceability of Testing Life cycle.
