Although there are numerous differences probably the most relevant was the introduction of data-only (pages row level) locking for tables in 12.x. That was the biggest one that shook up the Sybase community.

UDB offers some nice tools not available in Sybase such as a tool to make recommendations for physical data placement improvements. Sybase usually follows UDB and Oracle with similar features 1-2 years after.
